Originator Inc. (“Originator,” “we,” “us,” “our”) provides its PAW Patrol: The Game mobile application (“PP:TG” or “Service”) to you (“User” or collectively, “Users”) subject to these Terms of Service (“User Terms”). We may update these User Terms by posting a new version on our website, and your continued use of the Service after any such update constitutes your binding acceptance of such changes. If you do not agree to be bound by these User Terms, discontinue all use of the Service immediately.
These User Terms set forth the rules and guidelines that govern use of the PP:TG app and apply to all Users of the Service.
Originator’s PP:TG is an app of entertaining activities, designed to be preschool-age appropriate and kid-safe. Any new features that augment or enhance the current Service shall be subject to these User Terms.
Your use of PP:TG is subject to our Privacy Policy, which is incorporated by reference into these User Terms. You can read our Privacy Policy here.
The content in PP:TG includes copyrighted and trademarked material and intellectual property owned by Spin Master.
By using or registering for the Service, you acknowledge and agree that the Service is for personal use only. You may copy information from the Service for personal use (e.g., to view, print, screenshot, or email) but you will not otherwise reproduce, duplicate, copy, sell, trade, resell, modify, distribute, decompile, disassemble, or reverse engineer any portion of the Service.
You agree to indemnify, defend, and hold Originator and its related parties, affiliates, officers, employees, agents, co-branders, and other partners harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your use of the Service, any transaction resulting from your use of the Service, your connection to the Service, your violation of these User Terms, and/or your violation of any rights of another.
Originator reserves the right at any time to modify or discontinue, temporarily or permanently, the Service (or any part thereof), with or without notice. You agree that Originator shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.
An active subscription provides access to all content available in PP:TG. Additional content or features may be offered through one-time in-app purchases (“In-App Purchases”).
Payments for subscriptions and In-App Purchases are processed through your app store account and governed by the app store provider’s terms and conditions. Prices may vary by region and are subject to change.
Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current period. You can manage or cancel subscriptions in your device’s account settings.
All purchases are final and non-refundable once delivered, except as required by applicable law or your app store’s refund policy.
The Service may provide links to other websites or resources. Because Originator has no control over such sites and resources, you acknowledge and agree that Originator is not responsible for the availability of such external sites or resources, and does not endorse and is not responsible or liable for any content, advertising, products, or other materials on or available from such sites or resources. You further acknowledge and agree that Originator shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods, or services available on or through any such site or resource.
All title, ownership, and intellectual property rights in and to the Service are owned by Originator or its licensors. The Service contains proprietary and confidential information protected by applicable laws. Except as expressly authorized by Originator, you agree not to modify, rent, lease, loan, sell, distribute, or create derivative works based on the Service, in whole or in part.
a. Your use of the Service is at your sole risk. The Service is provided on an “AS IS” and “AS AVAILABLE” basis. Originator expressly disclaims all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. Originator assumes no responsibility for the timeliness, deletion, mis-delivery, or failure to provide any content.
b. Any content downloaded or otherwise obtained through the Service is downloaded and used at your sole discretion and risk. You will be solely responsible for any damage to your system or loss of data that results from the download or use of any such content.
c. No advice or information, whether oral or written, obtained by you from Originator or through or from the Service shall create any warranty not expressly stated in the User Terms.
YOU UNDERSTAND AND AGREE THAT, TO THE FULLEST EXTENT PERMITTED BY LAW, ORIGINATOR SHALL NOT BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF ORIGINATOR HAD BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM: (i) THE USE OR THE INABILITY TO USE THE SERVICE; (ii) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (iii) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICE; OR (iv) ANY OTHER MATTER RELATING TO THE SERVICE. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, ORIGINATOR’S TOTAL LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO ORIGINATOR FOR THE SERVICE DURING THE TERM OF YOUR REGISTRATION FOR THE SERVICE. IF YOU NEVER REGISTERED FOR THE SERVICE, ORIGINATOR’S TOTAL LIABILITY TO YOU SHALL BE LIMITED TO US$10.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to you.
Except as otherwise expressly provided in these User Terms, there shall be no third-party beneficiaries to this Agreement.
Originator may provide you with notices, including those regarding changes to these User Terms, by email or postings on the Service; provided, however, that this Section places no requirements on Originator not already expressly set forth herein.
Originator, PAW Patrol: The Game, PAW Patrol™ and other names, logos, and marks are the trademarks and service marks of Originator or its licensors or affiliates (the “Originator Marks”). You agree that you will not display the Originator Marks or use the Originator Marks in any manner without the prior written permission of Originator.
Any controversy or claim arising out of or relating to the User Terms, with the exception of those controversies or claims specifically excluded below, shall be settled by binding arbitration in accordance with the American Arbitration Association (“AAA”) Commercial Arbitration Rules (“AAA Rules”), and, where appropriate, the AAA’s Supplementary Procedures for Consumer Related Disputes (“AAA Consumer Rules”). The determination of whether a dispute is subject to arbitration shall be governed by the Federal Arbitration Act and determined by a court rather than an arbitrator. Your arbitration fees and your share of arbitrator compensation shall be governed by the AAA Rules and, where appropriate, limited by the AAA Consumer Rules.
You and Originator agree that any arbitration shall be limited to the dispute between Originator and you individually. To the full extent permitted by law: (1) no arbitration shall be joined with any other; (2) there is no right or authority for any dispute to be arbitrated on a class-action basis or to utilize class action procedures; and (3) there is no right or authority for any dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.
You and Originator agree that the following disputes are not subject to this binding arbitration provision: (1) disputes seeking to enforce or protect, or concerning the validity of, any of your or Originator’s intellectual property rights; and (2) any claim for injunctive relief.
For any dispute not subject to arbitration, you and Originator agree to submit to the personal and exclusive jurisdiction of the federal and state courts located in Los Angeles, California. You further agree to accept service of process by mail and waive any jurisdictional and venue defenses otherwise available.
These User Terms and the relationship between you and Originator shall be governed by the laws of the State of California without regard to its conflict of law provisions.
Entire Agreement. These User Terms constitute the entire agreement between you and Originator with respect to the Service and supersede any prior agreements, oral or written.
Waiver and Severability of Terms. The failure of Originator to exercise or enforce any right or provision of these User Terms shall not constitute a waiver of such right or provision. If any provision is found by an arbitrator or a court of competent jurisdiction to be invalid, the parties nevertheless agree the arbitrator or court should endeavor to give effect to the parties’ intentions as reflected in the provision, and the other provisions remain in full force and effect.
Statute of Limitations. Regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to the use of the Service or these User Terms must be filed within one (1) year after such claim or cause of action arose or be forever barred.
Section Titles. The section titles in these User Terms are for convenience only and have no legal or contractual effect.
